Our Process

Step 8: Intent of Interest (IOI), Letter of Intent (LOI) & Negotiation

Typically a buyer will provide an offer through an Intent of Interest (IOI) that is a non-binding document providing the proposed terms, valuation and structure of the transaction. A period of negotiation takes place with the buyer with SAI representing our client. If all parties reach agreement, the creation of a more formal agreement called Letter of Intent (LOI) takes place with the buyer obtaining exclusivity with the seller, removing the business from the open market during that time.
