Step 9: Due Diligence Period & Purchase Agreement

During the exclusitity period, the buyer is conducting heavy due diligence on the business, with an intent to acquire it. If the buyer wishes to proceed, a more formal purchase agreement must be drafted to define all of the details of the transaction including: legal, financial, representations and warranties. The purchase agreement is the definitive document outlining the terms of the sale.
